An international private equity fund seeks an experienced Legal Counsel for their in-house legal team in Luxembourg. In this role, you will manage legal matters related to European and international acquisitions and transactions, providing expertise in corporate law and M&A. Our client is an international private equity fund specializing in investments across real estate, equity, credit, and other financial assets worldwide. With a lean and dynamic team, the fund manages complex transactions across key markets including Europe and the US.
The Role
We are seeking an experienced Legal Counsel to join the in-house legal team in Luxembourg. You will provide legal support on European and international acquisitions, asset management, and complex transactions across sectors such as real estate, operating businesses, and distressed debt.
Reporting directly to the Head of Legal, you will play a key role between the Head of Legal and the Legal Managers, taking on significant responsibilities in managing legal matters.
Key Responsibilities
Provide strategic legal advice throughout all stages of transactions (acquisitions, financings, asset management, divestitures)
Draft, review, and negotiate a wide range of legal documents
Coordinate with external counsel across multiple jurisdictions
Ensure compliance with Luxembourg, EU, and international laws and regulations
Advise internal teams on legal risks and propose pragmatic solutions to support business objectives
Candidate Profile
Qualified lawyer with Master’s degree and LLM (or equivalent)
7 to 10 years post-qualification experience, preferably from a top-tier international law firm, with strong exposure to cross-border transactions
Solid expertise in corporate law, M&A, and finance law
Familiarity with Luxembourg and EU law is essential
Experience or interest in real estate, restructuring, or distressed debt transactions is a plus
Fluent in English (working language) and French (office language)
Additional languages such as German or Spanish are advantageous
Offer
Permanent contract based in Luxembourg (Bertrange)
Competitive salary around €150,000 gross per year, discretionary bonus, pension plan (5%), life insurance, meal vouchers, parking, and 30 days holiday
