Job summary

GeneralMind in Berlin is seeking a Junior Legal Counsel to help build and support the legal function from the ground up, focusing on corporate transactions, M&A, due diligence, and fundraising. You will steer cross-border contracts, SaaS agreements, NDAs, DPAs, and employment matters, collaborating with founders and external counsel to scale a fast-growing AI-driven enterprise across Europe.

About the role

As our Junior Legal Counsel, you'll help build and support the legal function at GeneralMind from the ground up. You will support our legal strategy for corporate transactions and M&A, while supporting fundraising efforts through due diligence and deal documentation. Selling AI automation into large enterprises means complex contracts, challenging negotiations, and navigating a fast-moving regulatory landscape around AI and data.

You'll own matters end to end: The legal side of every contract we sign, and the framework and processes that let us deploy into data-sensitive environments across Europe and the world.

What you will do

• Drive fundraising processes and negotiations alongside the founders through due diligence and deal documentation.

• Lead the legal strategy for all corporate transactions and M&A, managing the full lifecycle, from due diligence and valuation to drafting and negotiating complex documentation, working closely with our founders.

• Negotiate SaaS agreements, NDAs, DPAs, and security and AI terms from first conversation to signature

• Own employment contracts and corporate matters as we grow.

• Develop clear guidance on regulation and risk surrounding our business.
  

What we are looking for

• You have passed at least your first state examination (Staatsexamen); prior practical experience or experience in a startup environment is a plus.

• You're business savvy and understand the legal needs of fast-growing companies.

• You make pragmatic calls that keep us moving, and you have the confidence to flag risks and walk away when needed.

• You’re comfortable working beyond German law. You get up to speed quickly on cross-border topics and know when to bring in local counsel.

• You're excited to work in a dynamic, fast-paced environment with both internal and external stakeholders.

• You have excellent communication skills.

• You're fluent in German and English.
