Jobbeschreibung

Provide support to employees globally as relates to equity compensation. Responsible for administering H.B. Fuller’s equity programs, conducting stock analysis, as well as managing the documentation process. This position must be knowledgeable in stock administration, have a strong attention to detail and problem-solving capabilities. This position should have knowledge of the Microsoft Office Suite (Excel, Power Point, Word, Outlook), database functionality, and data merging capabilities. In addition to stock administration, this position will also manage the deferred compensation program, assist with annual proxy work and other executive compensation projects.

Primary Responsibilities

55% Stock Administration

Grant Stock Awards (includes all calculations of awards)
Manage annual and quarterly stock awards, including long-term incentive (LTI) plan, retention, board of director, and any other stock awards
Track and manage all related details for awards, including the acceptance of awards within needed timeframe
Prepare Employee Grant Communications
Draft employee grant communications and prepare merge information
Partner with Legal as needed on award agreements/plan documents for online grant packages
Restricted Stock Unit/Performance Stock Unit Vestings
Work with vendor to process restricted stock unit and performance stock unit vestings
Calculate appropriate FICA taxes
Confirm dividends accrued for these vestings
Verify all withholding requirements for US and global participants
Manage stock option exercises
Manage/audit termination process for Stock Participants
Supply information for annual global tax filings
10% Partner with Legal for Proxy and Required Stock Filings

Gather all necessary stock information and assist in analyzing data for the annual proxy statement
Provide relevant stock and dividend information to Legal for required SEC Section 16 form filings
10% Balance Stock Plan Accounts and Monitor Stock Plan Spending

Monitor stock plan spending
Work with vendors and legal department regarding balancing of stock plan reserves
10% Manage key employee and board of director deferred compensation plan

Manage enrollment
Coordinate distribution payments
Manage stock spend tracking
15% Additional Responsibilities/Projects

Update process documentation and recommend process improvements
Complete annual executive/director stock ownership analysis
Assist with compensation special projects

Minimum Requirements

  • Minimum of 4 years stock analyst/specialist experience
  • Accounting, finance or related degree (2 or 4 year) preferred
  • Strong analytical and problem-solving skills
  • Strong attention to detail and accuracy
  • Proficient in Excel (vlookup, pivot tables, chart preparation)
  • Flexibility to change priorities based on activity
