Your role
Are you well organized and ready to work closely with the Supervisory Board of UBS Europe SE? Are you passionate about European regulatory and governance topics? We are looking for a Company Secretary for UBS Europe SE (UBS ESE) who:
• manages the meetings of the UBS ESE Supervisory Board and its committees including agenda setting, preparing resolutions, writing minutes and following up on actions
• acts as an trusted advisor for the Chair of the UBS ESE Supervisory Board and the Committee Chairs and ensures adherence to governance standards and applicable laws and regulations;
• performs assessments of the initial and ongoing suitability of UBS ESE Management Board and Supervisory Board members including the orchestration of the regulatory required processes (Fit & Proper);
• monitors and analyzes regulatory developments and newly applicable Laws and Regulations for the identification of impacts on UBS ESE governance and supports implementing changes as required;
• maintains corporate records and keeps UBS ESE governance documents up-to-date;
• prepares Senior Management briefings for internal and external (regulatory) meetings and provides governance input to strategic UBS projects;
• communicates effectively with board members, senior management and internal & external stakeholders including auditors and regulators; and
• develops and maintains relationships with different UBS ESE and UBS Group stakeholders, in particular with UBS ESE Business and Function Heads as well as UBS ESE Branch Representatives.
Your team
You will be part of the UBS ESE Governance team and directly report into the UBS ESE Head of Governance. The team acts as gatekeeper of the corporate governance principles and regulations throughout UBS ESE and has strong interaction with regional and global colleagues. Functionally, the UBS ESE Company Secretary is embedded in the Group Company Secretary function. You will be located in the head office of UBS Europe SE in Frankfurt am Main.
Your expertise
Preferred skills and attributes are:
• Qualified European lawyer with strong interest in the financial industry and corporate governance;
• Experience in regulatory reporting/filing and interaction with regulators
• base knowledge in ECB/EBA and national regulations on Governance;
• well organized and able to prioritize urgent and important tasks as well as independent working attitude;
• strong communication skills with excellent verbal and written English and German language skills as well as being persuasive in a challenging environment;
• the ability to deal with confidential information in a compliant manner and to work in a fast-paced environment with tight timelines;
• pro-active and positive mindset (Can Do-mentality);
• ability to build good working relationships with multiple stakeholders and to work as a collaborative and proactive member of a team; and
• strong MS-Office skills and digital attitude.
