Job summary

MNP is seeking a Legal Counsel - Technology & Digital (Commercial Contracts) to support its Information Technology and Digital practice. This role focuses on the full lifecycle of software procurement and digital service delivery, advising on risk allocation and commercial strategy.

The successful candidate will draft and negotiate software licensing, SaaS, cloud, and managed services agreements, while guiding on privacy, data protection and AI-related risks in a fast-paced environment.

Qualifications

• Minimum of four years post-call experience in technology/commercial contracting.
• Active Law Society of Alberta member in good standing.
• Extensive drafting, reviewing and negotiating software licensing, hosted/cloud-based product agreements, professional services contracts and maintenance/ support agreements.
• Experience with IP, privacy/data protection and emerging technologies (including AI).
• Strong business judgment with pragmatic, risk-based advice in fast-paced environments.

Responsibilities

• Play a key role supporting the Information Technology resource group and Digital practice, focusing on software procurement and digital service delivery.
• Advise on risk allocation, commercial strategy and mitigation approaches, including highly prescriptive or non-negotiable terms for large enterprise or public sector contracts.
• Draft, review and negotiate software licensing, MSAs, RFPs/RFIs, SaaS, cloud-based engagements and managed services agreements.
• Research, analyze and prepare concise briefs on regulatory, legal and compliance issues to inform decision-making.
• Develop relationships with stakeholders and outside counsel; understand MNP's services and industry; contribute to templates, playbooks and scalable contracting processes.
• Provide guidance on emerging technology risks, including AI-enabled tools privacy and security.
