Job summary

MNP seeks a Legal Counsel for Technology & Digital (Commercial Contracts) to support software licensing, cloud-based services and digital initiatives. You will draft and negotiate agreements, assess technology risks, and advise on data privacy and emerging tech, including AI, across our Canadian operations.

Join a collaborative team within Legal & Risk Management, partnering with IT, digital services and business units to enable secure, compliant technology deployments and vendor negotiations.

Qualifications

• Experience drafting, reviewing and negotiating software licensing agreements, hosted/cloud-based product agreements, professional services contracts, and maintenance and support agreements.
• Strong understanding of IP, privacy/data protection and emerging technologies including AI.
• Ability to provide pragmatic, risk-based advice in fast-paced environments and manage complex contracting workflows.

Responsibilities

• Draft, review, and negotiate a wide range of technology and digital contracts.
• Advise on risk allocation, commercial strategy and practical mitigation approaches.
• Provide guidance on regulatory, legal and compliance issues affecting technology and data use.
• Develop relationships with stakeholders and outside counsel to support firm objectives.
• Contribute to scalable contracting processes and templates.
