MNP is seeking a Legal Counsel - Technology & Digital (Commercial Contracts) to support its Legal & Risk Management team in Winnipeg. You will draft, review and negotiate software licensing, cloud and managed services agreements, and provide pragmatic risk-based advice for technology initiatives.

The ideal candidate has 4+ years post-call experience, is a licensed Alberta attorney, and can navigate IP, privacy, and cybersecurity issues in fast-paced environments.

Formación

• 4+ years post-call experience in technology/commercial contracts.
• Active membership in good standing with the Law Society of Alberta.
• Extensive drafting and negotiation of software licensing, hosted/cloud products, MSAs, SaaS and related agreements.
• Experience with IP, privacy/data protection, and emerging technologies including AI.
• Strong business judgment with pragmatic, risk-based advice in fast-paced environments.

Responsabilidades

• Support IT resource group and Digital practice across the full lifecycle of software procurement and digital services.
• Draft, review, and negotiate agreements including software licensing, MSAs, SaaS, cloud engagements and managed services.
• Advise on risk allocation, commercial strategy and practical mitigation in non-negotiable terms (enterprise/public sector).
• Advise on emerging technology risks, including AI-enabled tools privacy and security.
• Research regulatory, legal and compliance issues and brief stakeholders to guide decisions.
• Develop relationships with stakeholders and outside counsel; understand MNP's services and industry.
• Contribute to templates, playbooks and scalable contracting processes.
