Clio is seeking a skilled Legal Counsel to support our fast-growing commercial business. You will own the full lifecycle of SaaS agreements, navigate public sector contracts, and advise on technology/IP and privacy matters across jurisdictions.

This role emphasizes collaboration with sales, compliance, and privacy teams, with a focus on scalable processes and AI-enabled legal practice. The position requires Canadian bar admission and 3–5 years in commercial or technology law, with a drive for

Qualifications

• Bar admission in Canada with good standing
• 3–5 years as a commercial or technology lawyer focusing on SaaS, NDAs, privacy and partnerships
• Strong negotiation skills and ability to handle deal cycles independently
• Comfort with rapid pace, prioritization, and good judgement under uncertain information
• Interest in AI and legal tech and experience using related tools

Responsibilities

• Own end-to-end Sales Agreements: NDAs, drafting, redlining, negotiating and closing
• Support Public Sector contracting (SLED) and municipal deals with government procurement processes
• Draft and structure Referral & Partnership agreements with business development
• Advise on Technology & IP, licensing, trademarks in AI contexts
• Support Privacy program activities: DPIAs, data breach response, regulatory guidance
• Contribute to Legal Ops and process improvements to scale the function
