Job summary

Xanadu is seeking a Corporate Governance and Compliance leader to oversee governance, securities law compliance, board administration, and subsidiary entity management for a dual-listed entity on the TSX and NASDAQ.

You will coordinate cross-border disclosures, filings, and policy maintenance, liaising with external counsel, transfer agents, and regulators to ensure robust governance and regulatory compliance.

Qualifications

• JD or LL.B. from an accredited law school.
• Active member in good standing with a Law Society in Canada or a U.S. State Bar.
• 3-7 years of relevant experience in governance, regulatory compliance or corporate law.

Responsibilities

• Assist with Securities & Capital Markets compliance, filings, and capital markets transactions.
• Organize materials for Board and Committee meetings; draft resolutions, agendas, minutes, and records.
• Manage subsidiary governance, entity management, and annual filings across global entities.
• Maintain corporate policies and support risk management and governance audits.

Education

Juris Doctor (J.D.) or Bachelor of Laws (LL.B.) from an accredited law school

Active member in good standing with a Law Society in Canada (e.g., LSO, LSBC) or a U.S. State Bar
