Job summary

EQB Inc. and Equitable Bank are seeking a Corporate Secretary in Toronto, with hybrid work arrangements, reporting to the General Counsel.

The role is the Bank’s senior governance officer, safeguarding the integrity of governance and enabling effective Board decision-making across EQB, Equitable Bank and subsidiaries. You will lead enterprise governance, oversee board materials, minutes and disclosures, manage regulator interactions, and mentor the governance team to uphold high standards of

Qualifications

• Undergraduate degree in law, business, or related discipline; JD strongly preferred.
• 15+ years governance, corporate secretarial or legal experience with Canadian public boards.
• Experience in federally regulated financial institutions and strong regulator engagement.

Responsibilities

• Act as principal governance advisor to the Board and CEO.
• Lead annual Board and Committee calendars, agendas and workplans.
• Oversee minutes, resolutions and confidential governance records.
• Manage SEDAR+ and insider reporting requirements.
• Lead annual meeting planning, proxy materials and filings.
• Develop and implement governance framework and policies.
• Mentor governance team and manage budget and external providers.
• Collaborate with Legal, Risk, Finance, Compliance, and Investor Relations.
