Job summary

Jobgether is seeking a paralegal to support a U.S. law firm from a fully remote setup. You will assist with formation, governance, and commercial agreements, coordinating due diligence and closing checklists.

The role emphasizes drafting, research, and managing corporate records while collaborating with clients and attorneys across multiple matters. You will work during U.S. business hours, with a long-term remote arrangement.

Qualifications

• At least 5 years of professional paralegal, lawyer, or attorney experience.
• At least 2 years of experience with US business/commercial law.
• Strong drafting, review, and governance document skills.
• Experience with LLCs, corporations, partnerships, operating agreements, bylaws, and filings.

Responsibilities

• Support attorneys with formation, governance, and commercial transactions.
• Prepare formation documents for LLCs/corporations/partnerships.
• Draft and revise operating agreements, bylaws, and resolutions.
• Manage commercial agreements including NDAs, vendor contracts, and licenses.
• Maintain corporate records and minute books; track filings and due diligence.
• Coordinate due diligence, data rooms, and closing checklists.
• Assist with transaction closings and documentation.
• Research corporate and commercial statutory requirements.
