  • Prepare and organize formation documents for LLCs, corporations, partnerships, and other business entities.

  • Draft, review, and revise operating agreements, bylaws, corporate resolutions, written consents, amendments, and related governance documents.

  • Assist with drafting, reviewing, organizing, and managing commercial agreements, including service contracts, vendor agreements, nondisclosure agreements, licensing agreements, and other business contracts.

  • Maintain corporate records, minute books, ownership documentation, and organizational files to ensure information remains accurate and up to date.

  • Support mergers and acquisitions, asset purchases, stock purchases, business sales, and other corporate transactions.

  • Coordinate due diligence activities, organize virtual data rooms, track outstanding documents, and follow up with relevant parties to keep transactions moving forward.

  • Prepare transaction closing checklists, signature packets, exhibits, schedules, and closing documentation.

  • Track transaction milestones, contract obligations, renewal dates, filing deadlines, and other important compliance requirements.

  • Provide support for commercial disputes and litigation-related matters when required.

  • Maintain well-organized digital matter files and use legal case management and document management systems effectively.

  • Follow established procedures and quality standards while managing multiple matters and maintaining confidentiality and attention to detail.

Requirements:
  • At least 5 years of professional experience as a paralegal, lawyer, or attorney.

  • At least 2 years of experience working with a business or commercial law firm in the United States.

  • Strong practical experience supporting U.S. business law, corporate matters, and commercial transactions.

  • Demonstrated experience with business entity formation and corporate governance.

  • Hands-on experience drafting and reviewing contracts, corporate records, and transactional legal documents.

  • Familiarity with LLCs, corporations, partnerships, operating agreements, bylaws, resolutions, and ownership documentation.

  • Experience supporting mergers and acquisitions, business sales, asset purchases, stock purchases, or other commercial transactions.

  • Knowledge of corporate due diligence procedures, transaction documentation, and closing processes.

  • Familiarity with state corporate filings, annual reports, entity registrations, and UCC searches or filings.

  • Experience working directly with U.S. attorneys and business clients in a professional legal environment.

  • Strong legal drafting, proofreading, document preparation, and research skills.

  • Experience using legal case management, document management, or contract management software.

  • Advanced proficiency with Microsoft Office 365 or comparable cloud-based productivity tools.

  • Excellent written and verbal English communication skills, with the ability to communicate clearly and professionally with clients and colleagues.

  • Strong organizational skills, attention to detail, and the ability to manage multiple matters, competing priorities, and deadlines.
