Job summary

Tailscale in Canada is seeking a Commercial Legal Counsel to lead day-to-day commercial legal support. You will partner with Sales, Partnerships, Finance, Security, Product and Operations to close business, manage risk, and build scalable contracting practices.

The role reports to the Head of Legal and welcomes experienced counsel ready for broader ownership, or a senior counsel who has led complex transactions while staying hands-on.

Qualifications

• Law degree and active bar membership in an applicable jurisdiction.
• Meaningful experience advising technology companies on commercial transactions.
• Experience scaling a legal function, contracting program, or business process in a startup or high-growth environment.

Responsibilities

• Own and negotiate a broad range of commercial agreements (enterprise, vendor, partner, marketplace, technology, data protection, confidentiality).
• Advise Sales and go-to-market teams on deal structure, contracting strategy and risk.
• Translate legal issues into clear options and recommendations for timely decisions.
• Build and improve templates, playbooks, fallback positions, approval thresholds, intake processes, and self-service resources.
• Partner with Security, Privacy, Product, and Engineering on data, security, product functionality, integrations, and AI issues.
• Work with Finance and Revenue Operations on pricing terms, revenue considerations, procurement, and insurance.
• Support international transactions and coordinate with outside counsel as needed.
• Identify negotiation patterns and use data to improve cycle time and customer experience.
• Contribute to other legal priorities as the company evolves.
