Job description

Perform a variety of legal and administrative duties while coordinating and assisting lawyers with assigned matters.

  1. Prepare routine minute book documentation and maintain minute book for the trust and its subsidiaries.
  2. Prepare and file articles and corporate documentation relating to incorporation, amendments, dissolutions, and other corporate transactions, particularly under the CBCA, OBCA, and other provincial jurisdictions.
  3. Maintain database (CorpLink) of Trust and all subsidiaries.
  4. Prepare and file annual returns, business name, partnerships, and limited partnerships registrations.
  5. Prepare and maintain securities filings as required (SEDAR, SEDI, TSX).
  6. Conduct corporate reviews and other related due diligence in connection with transactions, recommending and drafting supporting documentation as necessary.
  7. Prepare corporate structure charts to accurately identify voting and participating interests.
  8. Monitor and communicate with lawyers regarding ongoing corporate filings and other requirements.
  9. Consult with lawyers and assist in identifying necessary or appropriate corporate documentation, searches, and filings in connection with transactions and other corporate requirements.
  10. Support the Corporate Secretary and Assistant Corporate Secretary by coordinating trustee calendars, preparing meeting agendas, reviewing and coordinating materials/presentations for the Board and its Committees, including uploading documentation to Diligent, preparing resolutions and minutes.
  11. Contribute to the development of Corporate Secretariat precedents.
  12. Assist in coordinating the annual general meeting.
  13. Process and maintain records of legal spend.
  14. Prepare and attend to the execution of documents.
  15. Establish and manage strong internal client relationships.
  16. Demonstrate strong knowledge and understanding of the business.
  17. Proactively identify issues and recommend solutions.

What you bring

  1. Completion of law clerk program recognized by the Institute of Law Clerks of Ontario.
  2. 6-10 years of related experience in a law firm or in-house legal department, preferably at a public company.
  3. A Member in good standing with the Institute of Law Clerks of Ontario.
  4. In-depth knowledge and understanding of corporate statutes.
  5. Superior administrative, organizational, and time management skills.
  6. Superior computer skills, including Word, Outlook, PowerPoint, Point, Diligent, and corporate databases (CorpLink).
  7. Superior written and oral communication skills.
  8. Superior research and problem-solving skills.
  9. Detail-oriented, hardworking, and self-motivated.
  10. Ability to work independently with minimal supervision from a lawyer.
  11. Experience with extra-provincial record keeping is an asset.
