Job summary

123Dentist is seeking a Law Clerk – M&A / Corporate to support high-volume deal work and corporate maintenance across the national platform. You will work closely with the Senior Corporate Legal Counsel and Director, Legal (Operations) on deal execution, filings, and documentation workflows.

This newly created role requires 4+ years as a Law Clerk with exposure to M&A, corporate governance, and regulatory/compliance tasks. A Canadian Law Clerk program is preferred; French is a bonus.

Qualifications

• 4+ years' experience as a Law Clerk, preferably at a top law firm or in-house legal department with exposure to M&A and corporate law.
• Completion of a Canadian Law Clerk program is strongly preferred.
• Demonstrated experience or exposure to mergers and acquisitions and corporate governance/support.
• French language proficiency is a bonus but not a requirement.
• You're highly motivated and capable of working in a fast-paced, transaction-heavy environment with competing deadlines and priorities.

Responsibilities

• Prepare and coordinate closing deliverables for share and asset acquisitions (authorizing resolutions, closing certificates, ancillary agreements, filing documents).
• Support due diligence, including corporate and PPSA searches, tracking diligence materials and follow-ups, and preparing and pursuing no-interest letters and discharge undertakings.
• Assist with post-closing integration, including corporate filings, document organization, and issue tracking.
• Support transaction document execution and closing logistics (e-signatures, signature pages, closing agendas, and checklists).
• Coordinate with external corporate service providers and government registries for filings and annual returns.
• Maintain internal legal databases and trackers (entity lists, practice lists, partner and service records, deal trackers).
• Support cross-functional projects and process improvements with Legal and Corporate Development leadership.
