Job summary

Brookfield Renewable Partners L.P. is seeking a Corporate/Commercial Law Clerk to support a broad range of legal services across the business. You will work with lawyers and other clerks on transaction execution, including project finance and M&A, and maintain entities across Canada and the United States.

The role covers operations, regulatory, real property and general commercial matters in a dynamic renewable energy environment. Gatineau, QC will be the primary office location.

Qualifications

  • Law Clerk diploma or equivalent combination of education and experience.
  • Minimum of 2 years experience supporting lawyers on corporate/commercial matters, including M&A and financing transactions.
  • Strong legal drafting skills and proven ability to manage corporate matters such as entity maintenance, regulatory filings, and transaction closings.
  • Excellent verbal and written communication skills.
  • Strong interpersonal skills with the ability to collaborate effectively and build relationships across all levels of the organization.
  • Advanced analytical and problem-solving abilities, with a keen attention to detail.
  • Effective at planning, time management, and prioritizing tasks in a fast-paced, deadline-driven environment.

Responsibilities

  • Assisting internal legal counsel with due diligence, including gathering, reviewing, and summarizing information; managing virtual data rooms; preparing agreement schedules and responding to counterparty inquiries.
  • Interacting with various internal business units and outside counsel to manage and advance transactions.
  • Drafting and working with outside counsel to review resolutions, regulatory filings, and other corporate closing documents; coordinating deliverables for closings and post-closing matters.
  • Maintaining legal entities and records, including updating corporate databases and organizational charts.
  • Supporting corporate reorganizations and special projects; coordinating closing agendas and deliverables; preparing resolutions and filings.
  • Maintaining minute books and entity databases for Canadian and U.S. entities; handling creation/dissolution and capital movements; updating corporate filings.
  • Researching and analyzing corporate law matters; coordinating director and officer slate changes; drafting regulatory documents.
  • Assisting with flow of funds documentation, bank accounts, and KYC requirements.
  • Developing and maintaining procedures for regulatory/trade/compliance tracking and document precedents.
  • Providing recommendations and solutions after reviewing and analyzing legal documents.

Job description

We are seeking a Corporate/Commercial Law Clerk to work with a team and support on a wide range of legal services across all functions of the business. This will include working with Lawyer and Clerks on transaction execution, including project finance and M&A, maintain legal entities across Canada and the United States, and providing support on operations, regulatory, real property and general commercial matters. Key Responsibilities
Project Finance & M&A Transactions
  • Assisting internal legal counsel with due diligence, including: gathering, reviewing, and summarizing information; managing virtual data rooms; preparing agreement schedules and responding to counterparty inquiries;
  • Interacting with various internal business units and outside counsel as required in managing and advancing the transaction;
  • Drafting and working with outside counsel to review resolutions, regulatory filings, and other corporate closing documents such as officers’ certificates; and
  • Coordinating deliverables for closings and dealing with post-closing matters.
Corporate Activities
  • Maintaining legal entities and records, including upkeeping corporate databases and organizational charts;
  • Supporting on corporate reorganizations and special projects by liaising with internal teams and external counsel as necessary, preparing closing agendas, drafting documents and coordinating deliverables for closings;
  • Maintaining minute books and corporate entity databases for Canadian and U.S. entities, creation/dissolution of entities, preparing various resolutions (annual resolutions, dividends, capital contributions, transfer of interests, special approvals, etc.), completing corporate filings;
  • Researching and analyzing corporate law matters;
  • Coordinating director & officer slate changes and draft necessary corporate and regulatory documents;
  • Supporting documentation of flow of funds, including capital contributions, dividends return of capital contributions, dividends, etc.
  • Assisting with preparing meeting materials, including preparation of notices, agendas, resolutions; and
  • Assisting treasury and capital markets teams with bank accounts and KYC requests and requirements.
Operational and other business matters
  • Assisting internal legal counsel with various operational matters handled by the BRNA legal group such as contract review & drafting, legal research and policy drafting and implementation;
  • Developing and maintaining procedures for contractual, regulatory and legislative compliance tracking and monitoring;
  • Assisting with development and maintenance of corporate precedents;
  • Providing recommendations and solutions following review and analysis of legal documents.
Knowledge and Experience Required
  • Law Clerk diploma or equivalent combination of education and experience.
