Job summary

Axiom is seeking an experienced M&A Counsel to support a leading mining client. You will handle mining transactions, commercial agreements, M&A, and securities matters with practical, hands-on guidance.

In a lean in-house environment, you will independently manage matters, collaborate with stakeholders, and help keep transactions moving forward while navigating North American regulatory considerations.

Qualifications

• Mined experience in-house is required.
• Hands-on with mining transactions and commercial arrangements.
• Experience across corporate, M&A, joint ventures, royalty, or offtake matters.
• Familiar with public-company and securities matters.
• Licensed to practice law in an applicable jurisdiction.

Job description

We are seeking an experienced M&A Counsel to join our team, supporting a leading mining client. In this role, you will provide practical, hands-on legal support across mining transactions, commercial agreements, M&A, and securities matters. You will work closely with legal and business stakeholders in a lean environment, independently managing matters and helping keep transactions and strategic initiatives moving forward.

Responsibilities:

• Draft, review, and negotiate mining-related commercial agreements, including joint ventures, royalty agreements such as net smelter return (NSR) arrangements, and offtake agreements for concentrate and doré products.
• Support small-scale M&A transactions, including due diligence, drafting, negotiation, and other North American M&A activity.
• Provide legal support on corporate and securities matters.
• Work closely with legal and business stakeholders to understand business priorities and provide practical legal guidance.
• Independently manage matters and transactions with minimal supervision in a lean legal environment.

Qualifications:

• Meaningful in-house legal experience with a mining company.
• Hands-on experience with mining transactions and commercial arrangements.
• Experience supporting corporate, commercial, M&A, joint venture, royalty, or offtake matters.
• Familiarity with public-company and securities matters.
• Licensed to practice law in an applicable jurisdiction.

Preferred Skills:

• Experience with U.S. securities matters.
• Experience working within a lean in-house legal team.

Compensation:

The estimated total compensation for full-time Axiom attorney roles is $114,000-250,000 per yearand for non-attorney roles is $64,000-201,000 per year. Compensation decisions are based on various factors, including, but not limited to, experience, skills, certifications, location, and business needs. Employees may be eligible for additional benefits, including health, dental, and vision insurance; paid holidays and PTO; flexible work arrangements; and professional development opportunities and tools.
