Job summary

Axiom invites applications for an experienced M&A Counsel to support a mining client on mining transactions, commercial agreements, and securities matters. Remote role with focus on North American activity, delivering pragmatic legal guidance in a lean in-house environment.

You will draft and negotiate mining-related agreements, assist with due diligence for M&A, and collaborate with stakeholders to align legal strategies with business priorities.

Qualifications

• In-house mining experience is essential.
• Hands-on with mining transactions and commercial agreements.
• Experience in corporate, commercial, M&A, joint ventures, royalty, or offtake matters.
• Familiar with public-company and securities matters.
• Licensed to practice law in the applicable jurisdiction.

Responsibilities

• Draft, review, negotiate mining-related commercial agreements including JV, NSR, and offtake arrangements.
• Support small-scale M&A transactions including due diligence, drafting, and negotiation.
• Provide legal support on corporate and securities matters.
• Collaborate with legal and business stakeholders to understand priorities and provide practical guidance.
• Independently manage matters and transactions with minimal supervision in a lean environment.
