Job summary

Crossing Hurdles, Canada-based, seeks a senior legal professional to review, analyze, and redline commercial contracts, ensuring accuracy and regulatory alignment. You will provide expert input on employment law, structured finance, private equity, and mergers and acquisitions, while evaluating SaaS MSAs for risk and improvements.

You will interpret complex regulatory requirements, shape compliance guidelines, and assess data privacy policies following international standards.

Qualifications

• Active Bar membership in good standing.
• Experience in commercial contracts, employment law, and structured finance.

Responsibilities

• Review, analyze, and redline commercial contracts to ensure accuracy and compliance with relevant laws and business objectives.
• Provide expert input on employment law, structured finance, private equity, and mergers and acquisitions.

Job description

• Review, analyze, and redline commercial contracts to ensure accuracy and compliance with relevant laws and business objectives.
• Provide expert input on matters relating to employment law, structured finance, private equity, and mergers and acquisitions.
• Evaluate and advise on SaaS Master Service Agreements (MSAs) to identify areas of risk and recommend improvements.
• Interpret complex regulatory requirements and shape guidelines for compliance within evolving legal landscapes.
• Assess data privacy policies and practices in accordance with international standards and regulations.
• Collaborate closely with multidisciplinary teams to clarify legal concepts and deliver clear, actionable written feedback.

Requirements

• Have an active Bar membership and be in good standing.
• Have a minimum of of experience practicing law, with a demonstrable track record in commercial contracts, employment law, and structured finance.
• Possess deep knowledge of private equity, mergers and acquisitions, and regulatory compliance.
• Demonstrate proficiency in contract redlining and negotiation, with attention to detail and accuracy.
• Have hands‑on experience reviewing and advising on SaaS MSAs and data privacy matters.
• Exhibit exceptional written and verbal communication skills, with the ability to distill complex legal concepts for diverse audiences.
