Job summary

Jobtailor is seeking an experienced contracts professional to own the deal desk, draft and negotiate MSAs, DPAs, and security exhibits. You will manage redlines, develop playbooks, and collaborate across Finance, Operations, and Executive teams.

The role requires JD, bar admission, 2–5 years of practice, and strong ability to explain legal issues to non-lawyers in plain English. AI governance exposure is a plus.

Qualifications

  • JD and bar admission required; 2–5 years of practice.
  • Hands-on commercial contracting experience with drafting/negotiating.
  • Working knowledge of DPAs, sub-processor terms, data residency, and security exhibits.
  • Ability to explain legal issues to non-lawyers in plain English.
  • Comfort operating in ambiguous, unstructured environments; high-agency mindset.
  • AI governance experience or active AI user perspective preferred.

Responsibilities

  • Own the deal desk and run customer contracting for MSAs, order forms, change orders, DPAs, and NDAs.
  • Take first and final passes on redlines and negotiate directly with counterparty counsel and procurement.
  • Build contracting templates, negotiation playbooks, fallback positions, and approval thresholds.
  • Own contractual aspects of security and privacy, including data processing, data residency, sub-processor commitments, security exhibits, SLAs, and customer security/privacy commitments.
  • Support the Operations team with SOC 2 policies and customer-facing security questionnaires and audits.
  • Serve as point of contact for external and specialist counsel, control legal spend, and bring work in-house as playbooks mature.
  • Handle special projects involving corporate and financing matters, employment and equity questions, partnership structures, insurance regulatory questions, and AI governance.
  • Review and negotiate vendor, integration, and data licensing agreements, including AI usage, data rights, and model training terms.
  • Partner with Operations on authority matrices and risk thresholds for agreement routing.
  • Report to and partner closely with the Head of Finance & Operations.
  • Collaborate with Sales, Product, Engineering, Operations, and the executive team.

Requirements
  • A JD
  • Bar admission; must be called to the bar in a Canadian or US jurisdiction
  • Roughly 2 to 5 years of practice
  • Hands-on commercial contracting experience, including drafting and negotiating commercial agreements
  • Working knowledge of data protection and security terms, including DPAs, sub-processor terms, data residency, and security exhibits
  • Comfort getting up to speed on privacy regimes across Canada and the US
  • Commercial judgment and ability to explain legal issues to non-lawyers in plain English
  • Ability to work effectively in ambiguous, unstructured environments
  • Active AI user with a point of view on effective AI use
  • Strong communication across levels, including with account executives, executives, and opposing counsel
  • High-agency, builder's instinct
  • Ability to partner with Sales, Product, Engineering, Operations, executives, and external counsel
