Job summary

Messagepoint is seeking a Paralegal, Corporate Contracts to support commercial contracting in a fast-paced SaaS environment. You will review, negotiate, and manage customer and partner agreements, working with Sales, Operations, and external counsel to balance legal risk with business objectives.

Responsibilities

• Review and analyze technology company sales contracts including MSAs, SaaS licenses, customer and reseller agreements, and professional services contracts.
• Provide clear, business-focused feedback and recommended positions or fallback language.
• Support deal structuring and contract execution as part of the Sales Deal Desk.
• Identify and escalate legal and commercial risks in contracts across Canada and the U.S.
• Coordinate with external counsel for guidance and specialized review.
• Develop understanding of Messagepoint’s products and services to inform contract decisions.
• Maintain contract templates and version control; contribute to process improvements.

About the Role

We are seeking a highly detail-oriented and business-minded Paralegal, Corporate Contracts to support our commercial contracting function in a fast-paced SaaS environment. This role is embedded within the business and operates similarly to a Sales Deal Desk, partnering closely with Sales, Operations, and external legal counsel.

You will play a key role in reviewing, negotiating, and managing customer and partner agreements, while providing practical recommendations that balance legal risk with business objectives. Success in this role requires a strong understanding of commercial contracts, attention to detail, and the ability to navigate complex, multi-jurisdictional environments.

What You’ll Do

• Review and analyze technology company sales contracts, including:
  • Master Services Agreements (MSAs)
  • SaaS and software licensing agreements
  • Customer sales agreements
  • Reseller and partner agreements
  • Professional services and managed services agreements
• Provide clear, business-oriented feedback and recommendations on contract terms, including suggested positions and fallback language
• Act as a key contributor to the Sales Deal Desk function, supporting efficient deal structuring and contract execution
• Identify, assess, and escalation legal and commercial risks in contracts
• Coordinate with external legal counsel for guidance, escalations, and specialized review
• Develop a strong understanding of Messagepoint’s products, services, and business operations to inform contract decisions
• Review agreements for data privacy considerations, including handling of PII and PHI
• Support contract negotiations involving customers across Canada and the U.S.
• Maintain and manage contract templates, documentation, and version control
• Contribute to the development and continuous improvement of contracting processes, playbooks, and standards

What You Bring

• Paralegal certification or equivalent experience in corporate/commercial law
• Strong experience reviewing and supporting negotiation of sales contracts in a SaaS or technology company
• Solid understanding of commercial contract terms and risk considerations (non-lawyer role)
• Experience working in or alongside a Sales Deal Desk or Sales Operations function
• Familiarity with:
  • SaaS/software agreements
  • Professional services and managed services contracts
  • Reseller and partner agreements
• Ability to provide practical, business-focused recommendations on contract positions
• Experience coordinating with external legal counsel
• Knowledge of data privacy concepts, including PII and PHI
• Experience working with customers across Canada and U.S.
• Experience working with customers in Europe is an asset.
• Exceptional attention to detail, organization, and time management skills
• Strong communication and stakeholder management abilities

Nice to Have

• Experience in a high-growth SaaS or B2B technology company
• Familiarity with contract lifecycle management (CLM) tools
• Exposure to international contracting standards and regulatory considerations
