Job summary

HEABC (Health Employers Association of British Columbia) is seeking a Legal Counsel, Privacy and Contracts to oversee and enhance privacy compliance and provide corporate legal services related to funding agreements and contracts for services. OPPORTUNITY:

Reporting to the Director, Privacy, the Legal Counsel, Privacy and Contracts (the Legal Counsel) plays a key role in overseeing and enhancing HEABC’s privacy compliance and practices, while also providing corporate legal services to HEABC regarding funding agreements and contracts for services. The Legal Counsel works cross-functionally to support privacy compliance, information governance, and transactions with third parties. The Legal Counsel is responsible for responding to privacy queries from all business areas within HEABC and its members and liaises with business units in the management and processing of information requests under both PIPA and FIPPA.

The role is the primary point of contact within HEABC for all third-party contracts, including, creating template agreements, negotiating with third parties, and overseeing renewals and amendments. The Legal Counsel mitigates risk to HEABC by ensuring operations align with applicable privacy legislation, including the activation of privacy breach response protocols, as well as providing legal oversight on contract management processes.

Responsibilities include:

• Responds to a variety of legal queries, including escalating and challenging files with privacy implications that may affect the healthcare industry as whole and the business operations of HEABC. May strategize and/or contract with external counsel on files and projects to ensure organizational efficiency and effectiveness.
• Represents or works with external counsel to represent the organization and its members in arbitrations and legal proceedings with sector-wide impact where privacy is engaged and in matters involving the BC Office of the Information and Privacy Commissioner.
• Provides advice, research, recommendations, and opinions to HEABC staff, including professional staff and leadership, on issues that engage privacy, including organization-wide risk assessments.
• Reviews, research, and prepares legal opinions that may have significant impact to the health sector and the organization, including the Provincial bargaining tables and labour relations disputes with a Provincial-wide impact. Assists and informs the implementation of privacy-compliant policies and practices across the organization and its external stakeholders
• Leads the review of third-party contracts within HEABC’s contract management processes. Drafts, reviews, amends, and interprets all corporate contracts, leases, forms, documents, proposals, policies, and strategy papers for legal effect, and provides constructive advice and input to senior leadership.

Required Experience & Knowledge:

Bachelor of Laws or Juris Doctor degree. Member of the Law Society of British Columbia, in good standing and holding a practising certificate. Minimum of seven (7) years of relevant professional experience.

• Experience in reviewing, drafting and negotiating contracts (including privacy and/or IT security).
• Strong understanding of FIPPA, PIPA, and global privacy regulations.
• Experience with responding to freedom of information and personal information requests.
• Experience providing legal advice on privacy and data protection.
• Superior oral and written communication skills, including the ability to tactfully and strategically collaborate, facilitate, negotiate and persuade others.
• Demonstrated ability to establish and maintain effective working relationship with others including interacting with senior organizational leaders and external stakeholders to present difficult/sensitive issues and solicit input to resolve and move forward complex issues.
• Demonstrated ability to manage challenging and competing demands and produce high-quality results within a limited timeframe.
• Ability to prepare high-quality legal correspondence, submissions, summaries, reports and opinions for audiences of varying levels of sophistication.

Salary Range: $118,923 to $156,086

Typical Hiring Range: $118,923 to $148,653

In determining salary, HEABC considers many factors including the successful candidate’s skillset and experience as well as internal equity. The final salary offer will be at HEABC’s sole discretion and presented as part of a competitive total compensation package.
