Qualifications

  • 8-10 years of experience as a Corporate Law Clerk.

What We Are Looking For
Aird & Berlis LLP seeks a Corporate Law Clerk to join our Corporate Services department. This role is ideal for someone who thrives in a busy environment, has strong attention to detail, and possesses in-depth knowledge of Corporate law, organizational skills, and the ability to handle multiple priorities.

Responsibilities

  1. Prepare and file articles and corporate documentation related to incorporations, amendments, continuances, amalgamations, and dissolutions under applicable corporate statutes.
  2. Prepare routine minute book documentation and make necessary filings.
  3. Compose and file business name, partnership, and limited partnership registrations as required.
  4. Prepare and file extra-provincial and territorial registrations, amendments, and annual returns.
  5. Prepare and file annual returns, initial returns, and notices of change as required by law.
  6. Assist during and after transactions as needed.
  7. Review, analyze, and summarize corporate records and recommend actions to rectify deficiencies.
  8. Conduct preliminary searches for name availability and obtain necessary reports.
  9. Obtain Certificates of Status/Compliance.
  10. Manage assigned work responsibly, take initiative, and maintain confidentiality.

Requirements

  • 8-10 years of experience as a Corporate Law Clerk.
  • Completion of the Institute of Law Clerks of Ontario Certification.
  • Membership in good standing with the Institute of Law Clerks of Ontario.
  • Flexibility to work outside regular hours when necessary.

Skills

  • Thorough knowledge of relevant corporate statutes and ability to apply it.
  • Proficiency with Microsoft 365, MinuteBox, CorpLink, eCore, and Adobe Acrobat.
  • Strong communication, problem-solving, judgment, and interpersonal skills.
  • Organized, resourceful, and detail-oriented.
