As a Corporate Law Clerk with EY Law LLP, you will provide our clients with quality service. Our team offers advisory services in commercial, corporate, and partnership law, including corporate due diligence, reorganizations, mergers and acquisitions, financings, joint ventures, transfer pricing, drafting commercial contracts, and employment policies and procedures.

Skills And Attributes
  • Utilize your legal and procedural understanding of corporate and employment law to serve client needs effectively.
  • Assist in drafting, reviewing, and analyzing corporate commercial contracts such as service agreements, joint operating agreements, and other operational agreements.
  • Ensure timely filing of applications, agreements, and contracts.
  • Consult with Corporate Lawyers on client questions and relay information to leadership.
  • Preferably possess knowledge of Canadian corporate and contract law, with experience in mergers and acquisitions, distribution, licensing, shareholder agreements, and corporate governance (including incorporations, amendments, dissolutions, continuances, and amalgamations in Ontario, Quebec, and federal jurisdictions).
  • Draft client emails to build trust through effective communication.
  • Assist in elaborating scopes of work and client step-memos.
  • Coordinate with internal teams to ensure alignment on processes and procedures.
  • Keep lawyers informed of client-related issues.
  • Attend seminars and professional development courses relevant to the area of specialty.
Qualifications
  • Undergraduate degree, college diploma, or equivalent experience.
  • 2-3 years in a legal support role, preferably in corporate and employment law.
  • Excellent organizational, verbal, and written communication skills.
  • Exceptional attention to detail.

  • Ability to manage multiple projects concurrently.
  • High professionalism and capacity to handle sensitive and confidential information appropriately.
