As a Senior Corporate Law Clerk with EY Law LLP, you will provide our clients with quality service. Our team provides commercial, corporate and partnership law advisory services, including corporate due-diligences, re-organizations, mergers and acquisitions, financings, joint ventures, transfer pricing, drafting commercial contracts, and employment policies and procedures.

Skills and Attributes
  1. Utilize your legal and procedural understanding of corporate and employment law and apply this knowledge effectively.
  2. Assist in drafting, reviewing, and analyzing corporate commercial contracts such as service agreements, joint operating agreements, and other operational agreements.
  3. Ensure timely filing of applications, agreements, and contracts.
  4. Collaborate with Corporate Lawyers and relay client questions to leadership.
  5. Familiarity with Canadian corporate and contract law, especially in Mergers and Acquisitions, distribution, licensing, shareholder agreements, and corporate governance (Ontario, Quebec, federal).
  6. Draft professional emails in response to client queries, building trust through effective communication.
  7. Assist in developing scopes of work and client step-memos.
  8. Coordinate with internal teams to ensure alignment on processes and procedures.
  9. Keep lawyers informed of client-related issues.
  10. Participate in seminars and professional development courses relevant to your field.
Qualifications
  1. Undergraduate degree, college diploma, or equivalent experience.
  2. 2-3 years in a legal support role, preferably in corporate and employment law.
  3. Strong organizational, verbal, and written communication skills.
  4. High attention to detail.
