Job summary

BJRC Recruiting is seeking a Corporate Secretary in the Greater Toronto Area on-site. The role supports board governance, secretariat functions, and governance documentation, coordinating quarterly board and committee meetings and liaising with senior executives.

The ideal candidate has significant corporate secretariat or governance experience, familiarity with boards of directors of publicly traded companies, and a strong legal or corporate law background.

Qualifications

  • Significant experience in corporate secretariat, corporate governance, or related clerking functions.
  • Experience supporting Boards of Directors or Boards of Trustees, ideally within a publicly traded company.
  • Legal background, including experience as a senior corporate law clerk, is an asset but not required.
  • Strong understanding of corporate governance practices and public-company requirements.
  • Experience preparing Board and committee materials, coordinating meetings, and maintaining corporate records.
  • Excellent organizational and time-management skills with strong attention to detail.
  • Excellent written and verbal communication skills.
  • Comfortable interacting directly with senior executives and Board members.
  • Ability to work independently and manage multiple priorities with minimal supervision.

  • Travel within Canada as required

Our Client

Our client is a leading Canadian organization with a sophisticated corporate governance function and a strong institutional presence. The organization is seeking an experienced Corporate Secretary to support its Board of Trustees and senior leadership team.

Responsibilities
  • Support the company’s corporate governance and secretariat functions
  • Coordinate quarterly Board and committee meetings, including agendas, materials, minutes, and related documentation
  • Prepare, maintain, and organize corporate records and governance documentation
  • Liaise directly with Board members, senior executives, and internal stakeholders on governance matters

  • Highly organized, detail‑oriented, and comfortable managing multiple priorities
  • Practical and hands‑on approach to corporate governance and secretariat responsibilities
  • Collaborative and comfortable working across legal, executive, and corporate functions
  • Interested in building a long‑term career in a sophisticated corporate governance environment
  • Real estate industry experience is not required
