We are seeking an experienced and highly motivated Corporate Law Clerk to join our dynamic legal team. The successful candidate will play a critical role in supporting corporate transactions and maintaining corporate records for a diverse client base. This position requires a detail-oriented and organized professional with a strong background in corporate law, excellent drafting skills, and a thorough understanding of relevant statutes and regulatory requirements
Key Responsibilities
- Review, analyze and summarize basic minute books and corporate records and recommend a course of action to rectify any deficiencies and draft necessary documentation.
- Preparing documents for filing Articles of Incorporation, Articles of Amendment, Articles of Continuance, Articles of Amalgamation, including drafting of share provisions.
- Preparing and filing of extra-provincial documents for all Provinces in Canada
- Preparing supporting documents for transaction including various corporate resolutions
- Prepare documents relating to purchase and sale of businesses (asset or shares) including preparation of required corporate documentation to complete transaction
- Review of accountant or lawyer planning memos with respect to tax related corporate reorganizations, preparation of document checklist and documents to effect proposed plan
- Prepare and organize corporate documents, including issuing shares; changes to corporate records such as registered office and changes of directors, officers and shareholders and supporting and ancillary documents.
- Managing of minute book records.
- Research and interpret legal and technical procedures, statutes and regulations applicable to corporate law
- Preparing documents relating to securities law and filing of documents on SEDAR+
Qualifications
- Minimum of five (5) years experience gained as a Corporate Law Clerk in a law firm or in-house position.
- Completion of the Institute of Law Clerks of Ontario Certification or college program.
- Excellent verbal and written communication skills with a keen attention to detail.
- Strong interpersonal skills with the ability to communicate effectively and professionally with clients, external counsel, and colleagues.
- Proven ability to work independently as well as part of a team, with the ability to take initiative in a fast-paced environment.
Skills Required
- Thorough Knowledge understanding and ability to apply working knowledge of the relevant corporate statutes.
- Extensive transactional experience
- Strong computer skills and experience with, but not limited to, Microsoft Office 365 (including Word, Excel, Outlook), Closing Folders and MinuteBox.
- Ability to work independently, following instructions with minimal supervision
- Highly organized and ability to prioritize work
- A strong team player; demonstration of positive work ethic
- Ability to multi-task and handle a fast-paced work environment
