Michael Page is seeking a Senior Legal Counsel - M&A based in Brussels to act as lead legal adviser on high-profile international transactions.

Your responsibilities include leading the legal execution of acquisitions, due diligence, drafting and negotiating transaction documents, and coordinating with internal stakeholders across the deal lifecycle.

Qualifications

• Belgian Master’s degree in Law.
• 8+ years of post-qualification experience in Corporate/M&A law.
• Experience at a leading international law firm and/or a sophisticated international in-house environment.
• Led complex domestic and cross-border M&A transactions.
• Excellent drafting, negotiation and project management skills.
• Strong commercial judgement and ability to translate legal complexity into practical business advice.
• Confident communicator with ability to influence senior stakeholders.
• Fluent in English; French and/or Dutch are strong assets.

Responsibilities

• Lead the legal execution of domestic and international acquisitions, divestitures, joint ventures and strategic investments.
• Manage complex due diligence exercises and coordinate input across jurisdictions.
• Draft, review and negotiate transaction documentation (share purchase agreements, JV agreements, TSAs, NDAs, etc.).
• Advise on transaction structuring and risk mitigation.
• Collaborate with Corporate Strategy, M&A, Finance, Tax, HR, IT and Compliance throughout the deal lifecycle.
• Coordinate signing, closing and post-closing processes; support integrations and reorganisations.
• Manage external counsel internationally while owning transaction execution.
• Advise senior management on strategic legal considerations affecting investments.

As Senior Legal Counsel - M&A, you will act as lead legal adviser on high-profile international transactions.

Your responsibilities will include:

• Leading the legal execution of domestic and international acquisitions, divestitures, joint ventures and strategic investments.
• Managing complex legal due diligence exercises and coordinating specialist legal input across multiple jurisdictions.
• Drafting, reviewing and negotiating transaction documentation, including share purchase agreements, joint venture agreements, transition service agreements, NDAs and other ancillary documents.
• Advising on transaction structuring and identifying pragmatic solutions to legal and commercial risks.
• Partnering with internal stakeholders across Corporate Strategy, M&A, Finance, Treasury, Tax, HR, IT and Compliance throughout the deal lifecycle.
• Managing signing, closing and post-closing processes.
• Supporting integrations, carve-outs and corporate reorganisations following completed transactions.
• Coordinating and managing external legal counsel internationally while maintaining ownership of transaction execution.
• Advising senior management on strategic legal considerations impacting investment decisions.
• Contributing to the continuous development of the company's M&A legal function and best practices.

Profiel

• Belgian Master's degree in Law.
• Approximately 8+ years of post-qualification experience in Corporate/M&A law.
• Experience gained within a leading international law firm and/or a sophisticated international in-house legal environment.
• Demonstrated experience leading complex domestic and cross-border M&A transactions.
• Excellent drafting, negotiation and project management skills.
• Strong commercial judgement and ability to translate legal complexity into practical business advice.
• Confident communicator with the ability to influence senior stakeholders.
• Fluent in English. French and/or Dutch are considered strong assets.
