Our client in Brussels seeks a Senior Legal Counsel - M&A to act as lead legal adviser on high-profile international transactions. The role covers execution of acquisitions, divestitures, JVs and strategic investments across jurisdictions.

You will manage due diligence, draft and negotiate transaction documents, advise on structuring and coordinate with internal teams and external counsel throughout the deal lifecycle.

• Experience in leading high-profile international M&A transactions.

Responsabilités

• Leading the legal execution of domestic and international acquisitions, divestitures, joint ventures and strategic investments.
• Managing complex legal due diligence exercises and coordinating input across jurisdictions.
• Drafting, reviewing and negotiating transaction documentation including SPAs, JV agreements, TSAs, NDAs and other documents.
• Advising on transaction structuring and identifying pragmatic solutions to legal and commercial risks.
• Partnering with internal stakeholders across Corporate Strategy, M&A, Finance, Tax, HR, IT and Compliance throughout the deal lifecycle.
• Managing signing, closing and post-closing processes.
• Supporting integrations, carve-outs and corporate reorganisations after transactions.
• Coordinating and managing external counsel internationally while owning transaction execution.
• Advising senior management on strategic legal considerations affecting investment decisions.
• Contributing to development of the company's M&A function and best practices.
