Michael Page zoekt een Legal Counsel - M&A in Brussel om de groei van een leidende internationale groep te ondersteunen. U begeleidt wereldwijd acquisities, desinvesteringen en strategische investeringen en stuurt multidisciplinaire deal-teams aan.

De kandidaat heeft een Belgische Master of Law, 8+ jaar ervaring in Corporate/M&A en uitstekende onderhandelingsvaardigheden. Ervaring bij een vooraanstaand kantoor of in-house M&A is vereist.

Qualifications

• Belgian Master of Law of gelijkwaardig Europees kwalificatie.
• 8+ jaar ervaring in Corporate/M&A.
• Achtergrond bij top-tier internationaal advocatenkantoor en/of in-house M&A omgeving.
• Uitstekende opmaak en onderhandelingstechnieken.
• Aantoonbare ervaring met complexe cross-border transacties.
• Sterke stakeholder-management vaardigheden.

Responsabilités

• Leiden van binnenlandse en internationale acquisities, desinvesteringen, joint ventures en strategische investeringen.
• Beheren van alle juridische aspecten van complexe cross-border transacties.
• Structureren van transacties en geven commerciële juridische adviezen.
• Opstellen en onderhandelen van geavanceerde transactiedocumentatie.
• Coördineren van deal-teams over Legal, Strategy, Finance, Tax, Treasury, HR, Compliance en IT.
• Beheren van externe counsel in meerdere rechtsgebieden.
• Leiden van signing, closing en post-completion activiteiten.
• Ondersteunen van integraties, reorganisaties en carve-out transacties.
• Adviseren van senior executives over strategische juridische risico's en uitvoering.

Our client is a leading international industrial group recognised for its innovation-driven strategy and global footprint. To support its continued growth through strategic acquisitions and investments, the company is expanding its specialist M&A legal team in Brussels.

Legal Counsel - M&A - Brussels

Your responsibilities include:

• Leading domestic and international acquisitions, divestitures, joint ventures and strategic investments
• Managing all legal aspects of complex cross-border transactions
• Structuring transactions and providing commercially focused legal advice
• Drafting and negotiating sophisticated transaction documentation
• Coordinating multidisciplinary deal teams across Legal, Strategy, Finance, Tax, Treasury, HR, Compliance and IT
• Managing external counsel across multiple jurisdictions
• Leading signing, closing and post-completion activities
• Supporting integrations, reorganisations and carve-out transactions
• Advising senior executives on strategic legal risks and transaction execution
• Contributing to the continuous development of our client's M&A legal capability

Profiel

• Belgian Master of Law (or equivalent European qualification)
• Significant experience in Corporate/M&A law (typically 8+ years)
• Background within a top-tier international law firm and/or sophisticated in-house M&A environment
• Outstanding drafting and negotiation skills
• Proven experience leading complex cross-border transactions
• Strong commercial judgement and strategic thinking
• Excellent stakeholder management and communication skills
• Ability to operate autonomously in an international environment
• Fluent English; French and/or Dutch are advantageous
