Jobgether is seeking an experienced legal professional to join a fully remote team supporting a U.S. law firm on corporate, transactional, and commercial matters. You will assist with formation, governance, contract management, and complex business transactions during U.S.

business hours. You will draft and organize documents, coordinate due diligence, maintain corporate records, and help close transactions while keeping sensitive information confidential. Strong English writing, U.S.

Qualifikationen

• At least 5 years of professional experience as a paralegal, lawyer, or attorney.
• At least 2 years in a U.S. business or commercial law firm.
• Strong experience with U.S. business law, corporate matters, and commercial transactions.
• Experience drafting and reviewing contracts and corporate governance documents.
• Advanced proficiency with Microsoft Office 365 and cloud-based tools.
• Experience with AI tools to support workflows.
• Excellent English writing and speaking skills.
• Stable employment history with two years in prior roles.
• Remote-work readiness with a quiet home office.
• Available during U.S. business hours for long-term remote role.

Aufgaben

• Support attorneys with formation, governance, contracts, and commercial transactions.
• Prepare formation documents for LLCs, corporations, partnerships.
• Draft, review, and revise operating agreements and bylaws.
• Draft, organize, and manage commercial agreements and NDAs.
• Maintain corporate records, minute books, and ownership documents.
• Support mergers and acquisitions, asset and stock purchases, and related transactions.
• Coordinate due diligence and data rooms; track milestones and deadlines.
• Prepare closing checklists and signing packets.
• Conduct corporate filings and state registrations.
• Communicate with clients, attorneys, accountants, and vendors.
