Job summary

Wolf & Williams seeks a Senior Legal Counsel for its Banking & Finance team in Sydney. The successful candidate will advise on debt, equity capital raising, and project financing, supporting billion-dollar developments across diverse markets.

You’ll work with top-tier external counsel and handle complex financing structures. You will advise on regulatory compliance and risk management across multiple jurisdictions, including AML and sanctions, while supporting M&A and infrastructure transactions

Qualifications

• 5+ years’ PQE in banking & finance, top-tier firm experience preferred.
• Capital Markets or Project Finance experience advantageous.
• Excellent drafting and negotiation skills with strong commercial judgement.
• Pragmatic, confident, and able to advise senior stakeholders.

Responsibilities

• Provide specialist banking and finance legal advice on debt and equity capital raising and project financing.
• Draft, review, and negotiate complex financing documents including credit facilities and PPAs.
• Lead cross-border capital markets activities while ensuring global regulatory compliance.
• Advise on regulatory compliance, AML, sanctions, and financial crime across multiple jurisdictions.
• Support M&A, joint ventures, and infrastructure projects including data center and energy sectors.
• Manage banking relationships, covenant monitoring, waivers, amendments, and dispute resolution.
