Job summary

Greenfields Executive Recruitment & Search is partnering with an established ASX-listed organisation to appoint an Interim Senior Company Secretary. Reporting to the Group Company Secretary & Head of Legal, this senior role provides governance and company secretarial services to the Boards and Committees, including subsidiaries, with direct exposure to Directors and senior executives.

The role covers Board/Committee governance, ASX requirements, AGM support, statutory and subsidiary governance,

Qualifications

• Senior company secretarial experience with direct accountability to a listed Board.
• Strong knowledge of ASX Listing Rules and Corporations Act requirements.

Responsibilities

• Support Board and Committee governance, draft agendas and papers, coordinate minutes.
• Prepare minutes for ASX Board meetings and complex transactions.
• Provide governance and regulatory advice to the Board and maintain governance documentation.
• Support statutory and subsidiary governance and liaise with the share registry.
• Assist with AGM planning, securities matters, and share trading records.
• Contribute to due diligence for major corporate and finance transactions and assist with contract management systems.
