Job description

This role presents an exceptional opportunity for a motivated, law-qualified governance or legal professional to develop their career while gaining direct exposure to Board operations, strategic decision-making, and corporate governance within a successful ASX-listed organisation.

Offered on a dedicated part-time basis (either 0.6 or 0.8 FTE / 3 to 4 days per week) with flexible hybrid working arrangements, you will provide high-level, trusted support to our Board of Directors and elevate its operations and effectiveness.

Whether your legal foundation was built within private practice, an in-house legal team, or an established corporate governance environment, you will have the opportunity to expand your expertise while working closely with senior leaders and contributing to the ongoing evolution of our governance framework. Reporting directly to the Chief Financial Officer, you will also serve as a key advisor to the Executive team and a primary contact for regulatory bodies, including ASIC and the ASX.

What You'll Be Doing
  • Identify and implement opportunities to improve governance processes, including enhancing the quality and clarity of Board papers, information management, Board effectiveness and stakeholder experience.
  • Build strong relationships with Directors, Executives and key stakeholders, becoming a trusted support to the Board and helping drive effective governance outcomes.
  • Support the Board's oversight of risk management and governance frameworks, and assist with corporate legal and governance matters as required.
  • Assist with maintaining compliance with the Corporations Act, ASX Listing Rules and other applicable regulatory requirements.
  • Support corporate secretarial obligations across global entities, ensuring statutory requirements are met and governance processes operate effectively.
  • Support the delivery of key governance events, including the Annual General Meeting and governance reporting activities.
  • Coordinate Board and Committee meetings, including scheduling, agenda management, preparation and distribution of papers, minute-taking and tracking action items.
  • Provide support outside standard business hours when required to facilitate Board and governance activities.
What We’re Looking For
  • Tertiary qualification in Law (Bachelor of Laws / Juris Doctor or admission as an Australian legal practitioner is required).
  • Prior experience gained within an ASX-listed company, corporate in-house legal team, or law firm (e.g., as an Assistant Company Secretary, In-House Legal Counsel, Corporate Governance Specialist, or Corporate Lawyer looking to transition into company secretarial practice).
  • Strong working knowledge of the Corporations Act 2001 (Cth), ASX Listing Rules, and continuous disclosure requirements, with a solid grasp of corporate governance best practices.
  • Demonstrated experience supporting Boards, Board Committees, or C-suite executives, with the gravitas to build credibility, trust, and influence across senior leadership.
  • Exceptional organisational skills, meticulous attention to detail, and the ability to manage competing priorities with composure in a fast-paced corporate environment.
  • Proven ability to handle highly confidential and commercially sensitive board matters with integrity, emotional intelligence, and sound professional judgement.
  • A proactive, curious approach with a focus on continuous improvement. Governance Institute of Australia (GIA) and/or Australian Institute of Company Directors (AICD) membership will be highly regarded.

Working closely with an experienced Board and Executive team, you'll gain exposure to strategic decision-making, governance best practice and the operation of a successful ASX-listed organisation while developing your governance and company secretarial capability.

You’ll be motivated by finding better ways of working, improving processes and helping shape the ongoing evolution of our governance framework. In return, you'll have the opportunity to develop your career while gaining exposure to a broad range of governance, compliance and strategic initiatives.

We offer a range of benefits, including flexible hybrid working, performance-based bonuses, wellbeing support through our Employee Assistance Program, health insurance benefits, novated leasing options, member rates with car share providers, a relaxed dress code and complimentary breakfast snacks and fresh fruit in the office.
