About the Opportunity

We are partnering with an established, ASX-listed financial services group seeking an experienced Company Secretary to join its Sydney-based team.

This newly created position offers the opportunity to establish and shape the company secretarial function, working closely with the CFO, CEO and Board of Directors.

The role will suit a proactive, commercially minded professional who enjoys balancing corporate governance advisory with hands-on responsibilities. You’ll have the autonomy to introduce process improvements, enhance efficiencies and make a meaningful contribution to the organisation's governance and compliance framework.

Key Responsibilities

  • Manage Board and Committee meetings, including agendas, board packs, minutes, resolutions and action registers.

  • Oversee ASX and ASIC compliance obligations, including statutory filings, continuous disclosure and corporate reporting.

  • Develop and maintain corporate governance frameworks, policies and procedures.

  • Coordinate the Annual General Meeting, shareholder communications and relevant Annual Report disclosures.

  • Advise on directors' duties, governance matters and support the Board's oversight of risk management.

  • Oversee company secretarial requirements across the group's Australian and international subsidiaries.

About You

To be successful in this role, you will bring:

  • A degree in Law or equivalent (essential), together with practical company secretarial and corporate governance experience.

  • Experience within an ASX-listed environment, ideally in financial services or another regulated industry, with a strong understanding of the Corporations Act and ASX Listing Rules.

  • Excellent communication, interpersonal and stakeholder management skills, with the confidence and professionalism to engage with Boards and senior executives.

  • A proactive, hands-on approach, strong attention to detail and the ability to work autonomously, take initiative and drive process improvements.

  • Experience managing international subsidiaries and relevant governance memberships will be highly regarded.

What's on Offer?

  • A newly created position with genuine ownership and the opportunity to shape the function.

  • Direct exposure to senior executives and the Board.

  • A supportive environment offering autonomy and the opportunity to contribute new ideas.

  • Hybrid working arrangements, with flexibility around key Board and business commitments.

  • Competitive remuneration package, negotiable depending on experience.
