Job summary

Sun World International, a California-based agriculture and technology firm, seeks a Senior Corporate Counsel, Licensing & Business Contracts for Peru to lead licensing and commercial contracts, providing practical, commercially focused legal support across the organization.

The role partners with commercial, finance, operations, R&D, IP and executives across jurisdictions; it manages drafting, negotiation, governance, and lifecycle of agreements while protecting IP and aligning with business

Qualifications

• Juris Doctor or equivalent law degree; active membership in good standing with a bar.
• At least eight years of relevant legal experience in commercial contracting and licensing.
• Minimum 3 years of demonstrated leadership/supervision of legal/contract professionals.
• Strong drafting and negotiation skills for complex, high-value cross-border agreements.
• Willingness to travel up to 20%.

Responsibilities

• Lead drafting, review, negotiation, amendment, renewal, and termination of licensing and other commercial agreements.
• Advise on cross-border licensing structures involving plant variety rights, patents, trademarks, royalties, territory and exclusivity.
• Translate business objectives into enforceable terms while identifying legal and commercial risks.
• Support contract lifecycle from term sheets through execution, implementation, renewal, and exit.
• Ensure consistency with IP strategy and commercial model across related agreements.
• Manage contractual disputes and performance issues with stakeholders and outside counsel.
