Job summary

ADIB - Abu Dhabi Islamic Bank HQ in Abu Dhabi seeks a Senior Counsel to lead complex IT, commercial and banking agreements in English and Arabic, ensuring compliance with local laws, Sharia guidelines and regulatory requirements.

Reporting to the Head of Retail and General Legal Services, you will draft, negotiate, and close contracts, supervise external counsel, and provide timely legal advice to business units.

Responsibilities

• Develop, review, negotiate and amend all forms of IT contracts including without limitation Software Licence and Hardware Agreements, Professional Services Agreements, Maintenance Contracts, Re-Seller Agreements.
• Negotiate and amend Lease Agreements, Real Estate Developer Agreements, Partnership Agreements, Loyalty Program Agreements, Services Agreements.
• Draft and negotiate Confidentiality/Non-Disclosure Agreements, Memorandum of Understanding, Letters of Intent and Purchase Orders.
• Research and revise all above mentioned forms of contracts and agreements to ensure compliance with new laws, regulations, standards and Sharia compliant resolutions and fatawa.
• Develop new terms and conditions of banking products and services.
• Instruct, take a lead and work closely with external counsel, internal stakeholders and vendors on special projects from beginning to successful closure within budget allocation and agreed turnaround times; and
• Assist and support team members on special tasks and projects; and
• Provide legal consultation and advisory services to business in English and Arabic.
• Advising on Corporate Finance and Investment Banking matters including reviewing, amending and negotiating syndication transaction documentation, security documentation, NDAs and credit support documentation.
• Instructing external law firms, reviewing and negotiating engagement letters and legal opinions
