Job summary

Abu Dhabi Islamic Bank in Abu Dhabi HQ seeks a Senior Counsel to lead drafting, review and negotiation of IT, lease, partnership and service agreements. The role requires bilingual proficiency in English and Arabic and provides advisory support across corporate finance and investment banking matters.

You will coordinate with external counsel and internal stakeholders, ensure regulatory and Sharia-compliant standards, and guide teams on complex projects through successful closure.

Qualifications

Responsibilities

• Develop, review, negotiate and amend IT contracts including Software Licence and Hardware Agreements.
• Negotiate and amend Lease Agreements, Real Estate Developer Agreements, Partnership Agreements, Loyalty Program Agreements, Services Agreements.
• Draft and negotiate Confidentiality/Non-Disclosure Agreements, Memorandum of Understanding, Letters of Intent and Purchase Orders.
• Research and revise all above mentioned forms of contracts and agreements to ensure compliance with new laws, regulations, standards and Shari’a compliant resolutions and fatawa.
• Develop new terms and conditions of banking products and services.
• Instruct, take a lead and work closely with external counsel, internal stakeholders and vendors on special projects from beginning to successful closure within budget allocation and agreed turnaround times; and
• Assist and support team members on special tasks and projects; and
• Provide legal consultation and advisory services to business in English and Arabic.
• Advising on Corporate Finance and Investment Banking matters including reviewing, amending and negotiating syndication transaction documentation, security documentation, NDAs and credit support documentation.
• Instructing external law firms, reviewing and negotiating engagement letters and legal opinions

Role Purpose: Reporting to the Head of Retail and General Legal Services, the candidate’s duties and responsibilities shall include the following:

Key Accountabilities of the role

1. Develop, review, negotiate and amend all forms of IT contracts including without limitation Software Licence and Hardware Agreements, Professional Services Agreements, Maintenance Contracts, Re-Seller Agreements;
2. Negotiate and amend Lease Agreements, Real Estate Developer Agreements, Partnership Agreements, Loyalty Program Agreements, Services Agreements;
3. Draft and negotiate Confidentiality/Non-Disclosure Agreements, Memorandum of Understanding, Letters of Intent and Purchase Orders;
