Job summary

Peergrowth Consultancy Co. seeks an experienced legal advisor to provide proactive advisory support on UAE banking transactions and initiatives, ensuring alignment with legal, regulatory, market, and internal standards.

The role involves supporting the Head of Advisory Legal on syndicated and structured finance matters, drafting and negotiating lending and security documents, and collaborating across teams to manage legal and regulatory risks while upholding high ethical standards.

Qualifications

• Bachelor's degree in law or equivalent and admission to practice from any jurisdiction.
• Common Law qualification preferred.
• Minimum of 25 years post-qualification experience specializing in banking and finance spanning private practice and in-house counsel roles ideally handling complex legal matters.

Responsibilities

• Provide proactive legal advisory support on UAE banking transactions and regulatory matters.
• Support Head of Advisory Legal on transactions including syndications, derivatives and structured finance.
• Draft, review and negotiate commercial agreements including software licensing, services procurement and payments.
• Draft and negotiate lending and security documents including credit facilities, term loans, assignments and movable security.
• Demonstrate knowledge of Islamic Finance documentation structures.
• Advise on UAE corporate, commercial financing and security laws to mitigate risk.
• Collaborate across legal, business and functional teams to facilitate mandate execution.
• Uphold high standards of conduct and ethical behavior in line with internal and external requirements.

Job description

To provide proactive legal advisory support to a leading banks businesses transactions products development and initiatives ensuring alignment with applicable legal regulatory market and internal standards.

Principal Accountabilities

• To provide support on UAE banking transactions by effectively collaborating with other lawyers in the legal team and advising internal business stakeholders and ensuring this is done with minimal legal risk.
• To support the Head of Advisory Legal on various transactions to include syndications derivatives and structured finance legal framework matters.
• Supporting senior lawyers with drafting reviewing and negotiating a variety of commercial agreements including but not limited to software licensing services procurement subscription and payment services arrangements.
• Draft review and negotiate all types of lending and security documentation including but not limited to credit facility agreements term loans assignments pledges and movable security agreements.
• Sound working knowledge of Islamic Finance documentation structures
• Solid knowledge of UAE laws relating to corporate commercial financing and security transactions.
• Support the Head of Advisory Legal with the management of legal and regulatory risks by identifying potential issues early and sharing these findings with other lawyers to assist with advise on appropriate mitigating strategies thereby protecting the banks reputation and business interests.
• Participating and encouraging collaboration across legal business and functional teams that facilitate smooth execution of mandates.
• Skilled in upholding high standards of conduct and ethical behavior promoting transparent decision-making and adherence to internal and external legal requirements.

Job Requirements (Qualification/Experience)

• Bachelors degree in law or equivalent and admission to practice from any jurisdiction.
• Common Law qualification preferred.
• Minimum of 25 years post-qualification experience specializing in banking and finance spanning private practice and in-house counsel roles ideally handling complex legal matters.
• Excellent written and oral communication skills in English.
• Arabic language skills would be an advantage.
