Jobgether is seeking a Senior Corporate Counsel based in the United Arab Emirates. You will shape corporate strategy, oversee securities compliance, M&A, and governance for a globally distributed technology company.

You will guide international subsidiaries, employee equity programs, and financing transactions while ensuring compliance across jurisdictions. You will advise cross-functional teams, develop scalable legal processes for international expansion, and translate complex legal issues

Qualifications

• Juris Doctor (JD) from a US-accredited law school.
• Admitted to practice in a US state.
• At least five years of legal practice experience.
• Strong expertise in securities law compliance and corporate governance.
• Experience handling international subsidiaries and complex corporate transactions.

Responsabilités

• Lead global securities law compliance & governance for a late-stage private company.
• Manage international subsidiary structure, board meetings, records and intercompany agreements.
• Support board governance with agendas, materials, and recording corporate decisions.
• Oversee employee equity programs, stock sales, and related transactions.
• Lead legal execution of fundraising, M&A, financing and other strategic transactions.
