Job summary

PAX is seeking a legally qualified professional to lead commercial contracting, employment compliance, and corporate governance in the UAE, with an emphasis on risk control and regulatory updates. The role requires bilingual proficiency in English and Chinese, and experience with China-based overseas enterprises in the UAE/Middle East.

You will provide clear legal guidance across business operations, marketing and IP.

Qualifications

• 2–5 years of in-house legal experience
• Experience with China-based overseas enterprises in UAE/Middle East; DIFC/ADGM familiarity
• Proficient in UAE federal laws and commercial agency rules
• Fluent in written and spoken English and Chinese; able to handle English legal documents independently

Responsibilities

• Draft, review, and negotiate English commercial agreements; manage transaction risks and protect corporate interests
• Ensure full-cycle HR legal compliance per UAE Labour Law; draft employment documents; support dispute resolution with HR
• Manage UAE entity governance: license renewal, UBO declaration, economic substance; process corporate documents
• Provide ongoing legal advisory on business operations, marketing, IP and governance; monitor regulatory updates and risk prevention
• Conduct local IP layout, registration and anti-infringement enforcement; handle disputes including negotiation, litigation and settlements

Job description

1.Commercial Contracting

Draft, review and negotiate full sets of English commercial agreements (agency, distribution, procurement, marketing, NDA, service contracts etc.), manage transaction risks and protect corporate interests, with core expertise in UAE Commercial Agency Law.

2. Employment Compliance

Ensure full-cycle HR legal compliance per UAE Federal Labour Law, draft employment documents, mitigate labour risks and support employee dispute resolution with the HR team.

3. Corporate Compliance

Manage UAE entity governance, including license renewal, UBO declaration, economic substance compliance and corporate document processing.

4. Legal Advisory & Risk Control

Provide ongoing legal consultation on business operation, marketing, IP and corporate governance; monitor regulatory updates and build effective risk prevention mechanisms.

5. IP & Dispute Resolution

Conduct local IP layout, registration and anti-infringement enforcement; handle commercial dispute negotiation, litigation and full-process dispute settlement.

Requirements

1. Bachelor or above in Law, with valid legal qualification certificate; overseas law degree (LLB/LLM) is preferred.
2. 2-5 years of in-house legal experience; experience with China-based overseas enterprises in UAE/Middle East, and DIFC/ADGM practical experience is highly preferred.
3. Familiar with legal differences between UAE mainland and free zones, proficient in UAE federal laws and commercial agency rules; solid hands-on experience in contract management, employment compliance and commercial dispute handling with business-oriented problem-solving ability.
4. Fluent in written & spoken English and Chinese; capable of independently handling English legal documents and liaising with local authorities and law firms.
