Job summary

Confidential Company in Ras Al Khaimah, UAE seeks an experienced Legal Counsel to draft, review and negotiate commercial contracts and purchase terms, while ensuring compliance with UAE Labour Law and regulations. You will advise management on legal structuring and risk mitigation across multiple entities.

The role requires handling disputes, coordinating with external law firms, and maintaining critical corporate documentation.

Qualifications

• Minimum 8–10 years of relevant legal experience.
• Experience in a diversified group with multiple entities is preferred.
• Strong knowledge of UAE Labour Law and commercial laws.
• Experience coordinating with external law firms, courts and government authorities.

Responsibilities

• Draft, review and negotiate commercial contracts, agreements and purchase terms.
• Provide legal advice and negotiate terms with suppliers, contractors, customers and partners.

Job description

Draft review and negotiate commercial contracts agreements purchase contracts and other legal documents to protect the Group s interests Provide legal advice and negotiate legal terms and conditions with suppliers contractors customers and other business partners Ensure compliance with UAE Labour Law and other applicable UAE laws and regulations Prepare formal legal correspondence notices claims and responses to safeguard and enforce the Group s legal rights Advise management on the legal structuring and ownership of Group assets entities and business operations Manage and resolve legal matters disputes and claims in the best interests of the Group Maintain and safeguard legal records contracts agreements notices claims and other critical corporate documentation Conduct or coordinate legal due diligence on suppliers customers contractors business partners and other parties as required by management Develop implement and monitor legal compliance frameworks policies controls and procedures across the Group Identify and mitigate legal risks associated with shipping logistics insurance and commercial contracts Represent the Group before courts and government authorities where legally permitted and coordinate with external law firms on litigation and dispute resolution matters Support external legal counsel by preparing case files evidence supporting documentation and legal submissions to protect the Group s interests Ensure that contractual corporate and departmental records are properly maintained and readily available for legal regulatory and business requirements Monitor contractual obligations and ensure that timely legal notices breach notices demand letters and other required communications are issued to relevant parties Manage and protect the Group s intellectual property rights including trademarks copyrights patents and other intellectual property assets Provide legal guidance on intellectual property registration protection licensing and enforcement Manage litigation and dispute resolution processes in accordance with applicable UAE laws and regulations Monitor changes in UAE laws and regulations and advise management on their potential impact on the Group s operations Work closely with management and relevant departments to identify assess and mitigate legal and contractual risks Strong knowledge of UAE laws and regulations, particularly UAE Labour Law and commercial laws. Proven experience in commercial contract drafting, review and negotiation. Strong litigation and dispute-resolution experience within the UAE. Excellent legal drafting, communication and negotiation skills. Strong ability to identify, assess and mitigate legal and commercial risks. Experience working with external law firms, courts and government authorities. Strong understanding of corporate governance, compliance, due diligence and legal documentation. High level of confidentiality, integrity, attention to detail and commercial awareness. Ability to work independently and provide practical, business-oriented legal advice to senior management.

Person Specifications

• Minimum 8–10 years of relevant legal experience.
• Experience in a diversified Group environment with multiple entities and business operations.
• UAE legal practice experience and/or experience working with UAE-based law firms is highly preferred.
• Experience in manufacturing, automotive, defence, trading, logistics or other commercial industries would be an advantage.
