Job summary

Tanqeeb is seeking a Manager - Corporate Governance to administer and safeguard the company's governance processes, ensuring that authorities, approvals, statutory requirements, and corporate records are properly managed in line with law and constitutional documents.

You will coordinate statutory filings, maintain registers, and support governance framework improvements while guiding management on approval routes and corporate formalities.

Responsibilities

• Prepare, issue, record, and monitor powers of attorney and delegated authorities.
• Maintain the register of authorised signatories and corporate authorisations.
• Monitor the expiry, renewal, and revocation of powers of attorney and signatory authorities.
• Ensure corporate authorities are valid, current, properly documented, and withdrawn when no longer required.
• Maintain statutory registers, constitutional documents, and the corporate records archive.
• Keep an updated record of Group entities, including key corporate documents, directors, shareholders, licences, and filing deadlines.
• Support Group entity administration, including incorporations, changes, and dissolutions.
• Ensure corporate records are accurate, current, properly maintained, and readily accessible when required.
• Coordinate and track statutory filings, registrations, and regulatory submissions within applicable deadlines.
• Monitor key statutory and corporate compliance deadlines and follow up with relevant stakeholders to ensure timely completion.
• Coordinate with external corporate secretarial and legal advisors on statutory and corporate administration matters.
• Maintain a central tracker for Board and committee approvals, resolutions, action owners, and completion status.
• Check the applicable approval route for corporate matters and elevate any matters requiring legal interpretation to the General Counsel.
• Guide management on established approval routes and corporate formalities.
• Support governance framework improvements, policies, and delegation of authority.
• Coordinate with relevant internal stakeholders and external advisors to ensure corporate governance requirements are properly implemented and documented.
• Board and shareholder meetings convened, conducted, and documented without procedural defect.
• Minutes, resolutions, and registers complete, accurate, and available on request.
• Statutory filings and regulatory deadlines met without penalty or lapse.
• Powers of attorney and corporate authorities fully traceable and current.
• Governance queries from management and the Board resolved promptly and correctly.
