Job summary

Placements24 seeks a Corporate Legal Officer in Stellenbosch to support corporate governance, contracting, and regulatory matters in a full-time, office-based role.

You will advise the board, manage statutory compliance, and coordinate with external counsel while handling mergers, acquisitions, and due diligence as needed. An experienced attorney with SA law expertise is preferred for this hands-on position.

Qualifications

• Admitted Attorney or Conveyancer with at least 5 years of post-qualification experience, preferably with a focus on corporate and commercial law.
• Strong understanding of South African company law, corporate governance, and compliance requirements.
• Proven experience in drafting and negotiating commercial contracts.
• Excellent analytical and problem-solving skills, with meticulous attention to detail.
• Strong interpersonal and communication skills, essential for an office-based role.
• Ability to manage a diverse workload and meet deadlines effectively.
• Proficiency in legal research and standard office software.
• Experience in the agricultural or wine industry is a significant advantage.
• Must be based in or willing to relocate to Stellenbosch for full-time employment.

Responsibilities

• Oversee and manage corporate secretarial duties and statutory compliance.
• Draft, review, and negotiate a variety of commercial agreements and legal documents.
• Provide legal advice on corporate law, commercial transactions, and regulatory matters.
• Assist with mergers, acquisitions, and other corporate restructuring activities.
• Maintain statutory registers and ensure accurate corporate records.
• Support the board of directors and various committees with legal and governance advice.
• Conduct legal due diligence as required for various business initiatives.
• Liaise with external legal counsel, regulators, and other government bodies.
• Develop and implement internal policies and procedures to ensure legal compliance.
• Manage litigation support and coordination as needed.
