Job summary

Placements24, a leading private equity firm, seeks a Senior Legal Counsel (M&A) to drive all legal aspects of acquisitions, divestitures, and joint ventures. This fully remote position requires SA-qualified attorney with 9+ years’ post-admission experience and deep corporate and securities law knowledge.

You will structure, negotiate, and close complex transactions while coordinating with investment teams and external counsel.

Qualifications

• JD or equivalent legal degree from a reputable institution.
• Admitted Attorney of the High Court of South Africa with at least 9 years post-admission experience.
• Proven M&A transaction experience, preferably in private equity or investment banking.

Responsibilities

• Lead and manage due diligence for acquisitions and investments.
• Draft and negotiate complex M&A documents including SPAs, APAs, and JV agreements.
• Advise on structuring, financing, and regulatory compliance for deals.
• Oversee external counsel and advisors on transactions.
• Ensure compliance with South African and international laws.
• Provide strategic legal advice to investment teams and senior management.
• Develop relationships with sellers, buyers, and regulators.
• Stay ahead of evolving market trends in private equity M&A.
