Placements24 is seeking a Senior Legal Counsel with deep M&A expertise to lead complex transactions for a rapidly expanding international technology firm. This fully remote role supports a globally distributed legal team, collaborating with internal stakeholders and external counsel to structure, negotiate, and close deals.

The ideal candidate has 8+ years of experience as an admitted attorney, strong drafting skills, and a proactive business mindset to navigate cross-border regulatory issues

Qualifications

• Admitted Attorney with a minimum of 8 years of relevant experience in M&A, preferably at a top-tier firm or as in-house counsel for a multinational.
• Proven expertise in structuring, negotiating, and closing complex M&A deals.
• Strong knowledge of corporate finance, securities law, and contract law.
• Exceptional drafting and negotiation skills.
• Ability to work independently and manage multiple projects in a remote setting.
• Excellent analytical, problem-solving, and strategic thinking abilities.

Responsibilities

• Lead and manage legal aspects of M&A transactions from due diligence to closing and related documentation.
• Advise senior management on legal risks and opportunities in potential transactions.
• Manage post-closing integration from a legal perspective.
• Provide legal support for corporate finance activities such as equity financings and joint ventures.
• Draft, review, and negotiate a wide range of commercial agreements essential for operations.
• Ensure compliance with securities laws and governance across jurisdictions.
