Job summary

Placements24 is seeking a Senior Commercial Transaction Lawyer to join the legal team. The role is fully remote and focuses on advising and structuring complex deals across mergers, acquisitions, joint ventures, and strategic partnerships.

The ideal candidate has 8+ years post-qualification experience in transactional law, with strong drafting and negotiation skills, and a deep understanding of corporate and securities law.

Qualifications

• Admitted Attorney with a minimum of 8 years post-qualifying experience.
• Significant focus on corporate finance and transactional law, including M&A and JVs.
• In-depth knowledge of corporate, securities and contract law.
• Strong drafting, analytical, and problem-solving abilities.

Responsibilities

• Lead and manage complex commercial transactions, including M&A, divestitures, JVs, and strategic alliances.
• Draft, review, and negotiate key transaction documents (SPAs, APAs, partnership agreements).
• Conduct comprehensive legal due diligence and develop mitigation strategies.
• Advise executives on legal aspects of strategic initiatives and restructurings.
• Coordinate external counsel and ensure compliance with corporate and securities laws.
