Placements24 represents a leading international firm seeking an accomplished Corporate Counsel specializing in M&A. This fully remote role supports cross-border transactions and requires navigating complex legal and commercial challenges across jurisdictions.

You will lead due diligence, draft and negotiate share and asset purchase agreements, advise on governance and regulatory matters, and coordinate with internal teams and external counsel to drive strategic growth from anywhere in South

Qualifications

• JD or LLB from a reputable institution.
• Admission to practice law in South Africa (or eligible).
• Minimum of 7 years of progressive experience in M&A and corporate law, preferably in a large firm or corporate dept.

Responsibilities

• Lead and manage M&A transactions from inception through closing.
• Conduct comprehensive due diligence on target companies.
• Draft, review and negotiate M&A documents (SPAs, APAs, schedules).
• Advise on governance, compliance, and regulatory matters.
• Collaborate with internal teams, external counsel, and advisors.
• Provide strategic legal advice on post-merger integration and restructuring.
• Ensure compliance with applicable laws and regulations.
