Job summary

Placements24 is seeking a highly skilled Legal Counsel specializing in Mergers & Acquisitions to join a fully remote legal team. You will lead structuring, negotiation and closing of complex M&A transactions, interfacing with finance and external advisors, ensuring compliance and risk management across deals.

Qualifications

• Admitted Attorney with 8+ years post-qualification experience focused on M&A.
• Deep understanding of M&A legal frameworks, transaction processes and financing structures.
• Proven track record in managing complex cross-border M&A deals.
• Exceptional negotiation, drafting and analytical skills.
• Excellent communication and project management abilities for remote collaboration.
• Ability to work independently and manage multiple high-stakes projects under pressure.

Responsibilities

• Lead and manage all legal aspects of M&A transactions, including due diligence, deal structuring and contract negotiation.
• Draft, review and negotiate key documents such as Sale of Shares and Share Purchase Agreements.
• Advise on legal risks and strategic considerations for acquisitions, divestitures and joint ventures.
• Coordinate with external counsel, investment bankers and other advisors for seamless execution.
• Ensure compliance with securities laws, governance regulations and disclosure requirements.
• Provide post-closing legal support and integration assistance for acquired entities.
