You will lead deal execution, perform due diligence, draft and negotiate transaction documents, and ensure regulatory compliance across jurisdictions while coordinating with global teams.

Qualifications

• Admitted Attorney of the High Court of South Africa or qualified lawyer in another common law jurisdiction.
• 6-8 years of M&A transactional experience.
• Strong knowledge of M&A principles, corporate finance and securities law.

Responsibilities

About the Role

Our client, a global leader in (Industry Name - e.g., Investment Banking, Private Equity, Conglomerate), is seeking a seasoned and highly motivated Remote Legal Counsel specializing in Mergers & Acquisitions (M&A). This is a fully remote position, allowing you to contribute your expertise from anywhere. The successful candidate will play a crucial role in advising on and executing complex domestic and international M&A transactions. You will be responsible for managing legal aspects of deals, from due diligence and negotiation to closing and post-acquisition integration. This role demands a proactive individual with exceptional transactional experience and a deep understanding of corporate finance and securities law.

Key Responsibilities

• Lead and manage legal aspects of M&A transactions, including acquisitions, divestitures, joint ventures, and strategic investments.
• Conduct and oversee legal due diligence, identifying key risks and issues for the company.
• Draft, review, and negotiate a variety of transaction agreements, such as Share Purchase Agreements (SPAs), Asset Purchase Agreements (APAs), and Merger Agreements.
• Advise senior management and business teams on deal structuring, negotiation strategies, and legal implications of transactions.
• Ensure compliance with all relevant securities laws, corporate governance regulations, and other applicable legal requirements in multiple jurisdictions.
• Coordinate with internal stakeholders and external counsel globally throughout the transaction lifecycle.
• Manage post-closing integration and legal transition matters.
• Stay abreast of legal and market trends in M&A and corporate finance.

Requirements

• Admitted Attorney of the High Court of South Africa or a qualified lawyer in another common law jurisdiction, with a minimum of 6-8 years of M&A transactional experience.
• Proven track record of successfully managing and closing significant M&A transactions.
• In-depth knowledge of M&A legal principles, corporate finance, securities law, and cross-border transactions.
• Exceptional negotiation, drafting, and analytical skills.
• Strong project management abilities and the capacity to manage multiple complex projects simultaneously.
• Excellent communication and interpersonal skills, with the ability to collaborate effectively with diverse teams in a remote setting.
• Demonstrated ability to work independently, exercise sound judgment, and thrive in a fully remote work environment.
• Fluency in English is essential.
• Experience with (Specific Jurisdictions/Languages) is a plus.
